Welcome to RSV Online (“App”). These Terms and Conditions (“Terms”) govern your use of the App provided by RSV Online (“we,” “us,” or “our”). By downloading, installing, or using the App, you agree to these Terms. If you do not agree to these Terms, do not use the App.

1. Acceptance of Terms

By accessing and using the App, you acknowledge that you have read, understood, and agree to be bound by these Terms and any additional terms and conditions that we may provide from time to time. If you do not agree to these Terms, you must stop using the App.

2. Changes to Terms

We reserve the right to modify these Terms at any time. Any changes will be effective immediately upon posting the updated Terms on the App. You are responsible for regularly reviewing these Terms. Your continued use of the App following the posting of changes constitutes your acceptance of those changes.

3. User Accounts

Registration: To access certain features of the App, you may need to create an account. You agree to provide accurate, complete, and up-to-date information during the registration process and to keep your account information current.

Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

4. Use of the App

License: We grant you a limited, non-exclusive, non-transferable, and revocable license to use the App for personal, non-commercial purposes, subject to these Terms.

Prohibited Conduct: You agree not to:

• Use the App for any illegal or unauthorized purpose.
• Interfere with or disrupt the operation of the App or the servers or networks that host the App.
• Engage in any activity that would constitute a violation of applicable laws.
• Use the App to upload, transmit, or distribute any content that infringes on any intellectual property rights or violates any privacy or publicity rights of any person.
• Use any automated system, including without limitation “robots,” “spiders,” or “offline readers,” to access the App in a manner that sends more request messages to our servers than a human can reasonably produce in the same period by using a conventional web browser.
• Attempt to gain unauthorized access to any portion of the App or any other systems or networks connected to the App, whether through hacking, password mining, or any other means.

5. Intellectual Property

Ownership: All content and materials available on the App, including but not limited to text, graphics, website name, code, images, and logos, are the intellectual property of RSV Online and are protected by applicable copyright and trademark law.

User Content: By posting or submitting any content on the App, you grant us a perpetual, non-exclusive, royalty-free, worldwide license to use, reproduce, modify, distribute, display, and perform such content in connection with the App and our business.

6. Privacy

Your privacy is important to us. Please review our Data Privacy Policy for details on how we collect, use, and disclose information about you.

7. Purchases and Payments

Product Purchases: If you purchase any products or services through the App, you agree to provide accurate, complete, and current payment and account information. You agree to promptly update your account and payment information as necessary.

Billing: We may use third-party payment processors to facilitate purchases. By providing your payment information, you authorize us to charge your payment method for the total amount of your purchase, including any applicable taxes and fees.

The App is provided on an “as-is” and “as-available” basis. We make no warranties, express or implied, regarding the App, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the App will be uninterrupted, error-free, or free of viruses or other harmful components.

10. Limitation of Liability

To the fullest extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the App; (ii) any conduct or content of any third party on the App; (iii) any content obtained from the App; and (iv) unauthorized access, use, or alteration of your transmissions or content.

11. Indemnification

You agree to indemnify, defend, and hold harmless RSV Online, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable attorney’s fees and costs, arising out of or in any way connected with your access to or use of the App, your User Content, or your violation of these Terms.

12. Termination

Termination by Us: We may terminate or suspend your access to and use of the App, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the App will immediately cease.

13. Governing Law

These Terms and any disputes arising out of or relating to them shall be governed by and construed in accordance with the laws of Philippines, without regard to its conflict of law principles.

14. Dispute Resolution

Arbitration: Any dispute arising out of or relating to these Terms or the App shall be resolved through binding arbitration administered by laws of the Philippines in accordance with its rules.

Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

15. Miscellaneous

Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Entire Agreement: These Terms constitute the entire agreement between you and RSV Online regarding your use of the App and supersede any prior agreements or understandings, whether written or oral, relating to such subject matter.

Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
